VivEat Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Dark Nebula AI LLC (Dark Nebula AI LLC, "VivEat," "we," "us," or "our") governing your use of the VivEat mobile application, the website at viveat.com, and related services (collectively, the "Service").

PLEASE READ SECTION 9 (ALLERGEN & NUTRITION DISCLAIMER) AND SECTION 11 (LIMITATION OF LIABILITY) CAREFULLY. THEY LIMIT OUR LIABILITY AND DESCRIBE IMPORTANT SAFETY RESPONSIBILITIES THAT ARE YOURS.

1. Acceptance of these Terms

By creating an account, joining the waitlist, or otherwise accessing or using the Service, you agree to these Terms, our Privacy Policy, and our Disclaimers, which are incorporated by reference. If you do not agree, do not use the Service.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. The Service is a household tool intended for adults.

2. What VivEat does (and does not do)

VivEat uses artificial intelligence to:

generate weekly family dinner plans based on your household size, dietary preferences, and stated food allergies;
provide beginner-friendly cooking steps;
provide AI-estimated per-serving nutrition information;
provide AI-generated dish images; and
aggregate the ingredients into a grocery list and hand that list off to third-party retailers (e.g., Walmart, Instacart, Kroger) via links or add-to-cart handoffs.

VivEat does not: sell groceries; process payment for groceries; fulfill, deliver, or guarantee any grocery order; prepare food; or provide medical, nutritional, or dietary advice. Grocery purchases and checkout happen entirely on the third-party retailer's platform under their terms.

3. Your account

You are responsible for the accuracy of the information you provide — especially your allergy and dietary information — and for maintaining the confidentiality of your login credentials. You are responsible for activity under your account. Authentication is provided through Microsoft Entra External ID and optional social logins (Google, Apple, Facebook); your use of those is also subject to their terms. Notify us promptly of any unauthorized use at privacy@viveat.com.

4. License to use the Service

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial household meal planning. We reserve all rights not expressly granted.

Your content. Recipes, meal plans, cooking steps, nutrition estimates, and images generated for you are provided for your personal use. As between you and us, the underlying Service, software, models integration, branding, and compilation are owned by us or our licensors. You may use generated meal plans and grocery lists for your own household cooking and shopping.

5. Acceptable use

You agree not to:

use the Service for any unlawful purpose or in violation of these Terms;
resell, redistribute, or commercially exploit generated content or the Service without our written permission;
reverse engineer, scrape, or attempt to extract source code or underlying models except as permitted by law;
attempt to bypass the allergen filter or safety features, or misuse the Service in a way that could endanger yourself or others;
upload malicious code, interfere with the Service, or attempt unauthorized access;
use the Service to generate content that is illegal, harmful, or infringing.

We may suspend or terminate access for violations.

6. Subscriptions, billing, auto-renewal, and cancellation

VivEat offers free features and paid subscription features ("Premium") on a freemium basis.

Store-managed in-app purchase. Paid subscriptions are sold and billed through the Apple App Store or Google Play in-app purchase systems (with entitlements managed via RevenueCat). We do not process your payment or store your card details. Your purchase is also subject to the app store's terms.
Auto-renewal. Subscriptions automatically renew at the end of each billing period (e.g., monthly or annually) at the then-current price, unless you cancel at least 24 hours before the period ends (or as the store requires). Your payment method (via the app store) is charged at renewal.
Price and plan. Current prices, features, and any free-trial terms are shown at the point of purchase. Free trials, if offered, convert to paid unless canceled before the trial ends.
Cancellation. You can cancel anytime through your Apple or Google account subscription settings. Cancellation stops future renewals; you keep Premium until the end of the current paid period.
Refunds. Subscriptions are sold only through the Apple App Store and Google Play, so refunds are handled by the store under its refund policy. We do not bill you directly and cannot issue store refunds ourselves.
Changes. We may change subscription features or pricing prospectively; material changes will be communicated as required by the stores and applicable law.

7. Affiliate links and third-party retailers

Affiliate disclosure. VivEat participates in affiliate/partner programs (e.g., via the Impact network, Walmart, Instacart, Kroger). When you buy groceries through links or handoffs in the Service, we may earn a commission or fee at no additional cost to you. This may create a financial incentive for us to link to certain retailers or products. See the Disclaimers for our full FTC affiliate disclosure.

Third-party services. Retailers, login providers, payment stores, and other third parties operate independently. We do not control and are not responsible for their products, pricing, availability, substitutions, delivery, data practices, or terms. Ingredient availability, product matching, and prices shown on a retailer's site are the retailer's, not ours, and may differ from what a recipe assumes.

8. AI-generated content

Meal plans, recipes, cooking steps, nutrition estimates, and dish images are produced by artificial intelligence (including Anthropic's Claude and Azure OpenAI image generation) and may be inaccurate, incomplete, or inappropriate for your needs. Dish images are illustrative and may not depict the actual finished dish. AI output can contain errors, unusual combinations, or omissions. Use judgment and standard cooking-safety practices (safe internal temperatures, freshness, cross-contamination) at all times.

9. ALLERGEN & NUTRITION DISCLAIMER (IMPORTANT — READ CAREFULLY)

THIS SECTION CONCERNS YOUR HEALTH AND SAFETY.

Allergen filtering is best-effort and NOT guaranteed. VivEat attempts to filter recipes and ingredients against the allergies you enter, using automated (AI and rule-based) processing. This process can fail — it may miss an allergen, mislabel an ingredient, fail to account for hidden ingredients, cross-contamination, "may contain" warnings, brand/product variations, substitutions made by a retailer, or preparation differences.
You must independently verify every ingredient and every product label — every time. Do not rely on VivEat to keep you or anyone in your household safe from an allergic reaction. Always read the full ingredient list and allergen statements on the actual products you buy and use, and confirm suitability before purchasing, preparing, or eating any food.
Nutrition is AI-estimated. Calorie and macronutrient figures are estimates generated by AI, are not verified by a laboratory or professional, and may be materially inaccurate. Do not rely on them for medical, clinical, or precise dietary purposes.
Not medical, nutritional, or dietary advice. VivEat is not a medical device and does not provide medical, nutritional, allergy, or dietary advice. If you or a household member has a food allergy, intolerance, medical condition, or specific dietary requirement, consult a qualified medical professional or registered dietitian. In an emergency or suspected allergic reaction, seek immediate medical help (e.g., call emergency services).

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, MEAL PLANS, ALLERGEN FILTERING, NUTRITION ESTIMATES, IMAGES, OR GROCERY LISTS WILL BE ACCURATE, RELIABLE, SAFE, UNINTERRUPTED, OR ERROR-FREE. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VivEat, Dark Nebula AI LLC, and our officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or any personal injury or health consequences, arising out of or relating to your use of (or inability to use) the Service, AI-generated content, allergen filtering, nutrition estimates, or third-party retailers — even if advised of the possibility.
Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) US$100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless VivEat and Dark Nebula AI LLC and our affiliates and personnel from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, your reliance on AI output without verifying allergens/ingredients, or your violation of any law or third-party rights.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination (including 9–12, 15) survive.

14. Changes to the Service and to these Terms

We may modify or discontinue the Service (in whole or part) at any time. We may update these Terms; if changes are material, we will provide reasonable notice (e.g., in-app or by email) and update the "Last updated" date. Your continued use after changes take effect constitutes acceptance where permitted by law.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Nothing here deprives you of mandatory consumer protections in your place of residence.

16. Miscellaneous

Entire agreement: these Terms, the Privacy Policy, and the Disclaimers are the entire agreement between you and us regarding the Service.
Severability: if any provision is unenforceable, the rest remains in effect.
No waiver: our failure to enforce a provision is not a waiver.
Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
Apple/Google app-store terms: where you obtain the app through an app store, additional store-required terms (including Apple's standard EULA terms) apply and the store is a third-party beneficiary of your license as required.
